1.0 Payment Structure
1.1 Monthly Billing for Clients
Clients are invoiced on a monthly basis, in advance. Invoices are generated approximately ten days prior to their due date and are required to be settled by the 1st day of each month.
1.2 Mid-Month Contracts
For contracts commencing in the middle of the month, charges will encompass the remaining duration of the month along with the deposit.
2.0 Deposit Handling
2.1 Deposit Collection
A deposit, equivalent to one month's staff rate, will be collected and retained. This deposit serves as a safeguard against non-payments and potential staff-related issues.
2.2 Deposit Utilisation
The deposit exclusively pertains to non-payment concerns and compensation in the event of staff piracy. Other circumstances will not lead to the forfeiture of the deposit.
- Exchange Rate Clause
TLNTED reserves the right to check the exchange rate of the time of the payment and if not accurate then we can adjust on following month's bill.
2.3 Deposit Refund
The deposit will be refunded within 30 days following the termination of the contract.
3.0 Timely Payments
3.1 Payment Adherence and Implications
In order to allocate the majority of funds towards staff remuneration and operational expenses, late payments will incur a charge of 15% per week. The first week's penalty will be applicable from the second day of the month. Ensuring prompt payments is advised to avoid any inconvenience.
4.0 Trial Phase
4.1 Client Engagement
During the trial week, the client is requested to cover the initial invoice. Upon satisfactory collaboration, the client proceeds to pay the second invoice, encompassing the remainder of the month and the deposit. This payment validates the conclusion of the trial phase and formalises adherence to the contractual terms.
5.0 Work Arrangements
5.1 Work Schedule
Staff members observe a 5-day workweek, with flexibility regarding the choice of days to align with client requirements.
5.2 Work Hours
Staff members dedicate 8 hours per day to their tasks, inclusive of a 1-hour paid break midday, totalling a 9-hour shift.
5.3 Overtime and Additional Work
Unplanned overtime will be billed at a rate of 1.5 times the hourly rate. Any extra days or hours required from staff will be invoiced based on the average daily/hourly rate.
5.4 Schedule Adjustments
Adjustments to the agreed-upon daily hours necessitate consultation with TLNTED management. Under normal circumstances, staff will not be expected to work beyond regular hours.
6.0 GDPR Compliance
6.1 Data Collection and Processing
The collection and processing of personal data are conducted exclusively for explicit and legitimate purposes. Consent is acquired before collecting personal data, and its relevance to the intended purpose is ensured.
6.2 Data Usage
Personal data is employed solely for its intended purposes and in alignment with these purposes. Sharing personal data with external parties transpires only with explicit consent or as mandated by legal requisites.
6.3 Data Security
Personal data is processed securely to prevent unauthorised access, disclosure, or tampering.
6.4 Data Retention
Personal data is retained as long as necessary for its original purposes or as stipulated by legal obligations. Redundant data is securely disposed of.
6.5 Data Subject Rights
Individuals possess rights to access, rectify inaccuracies, and request deletion of their personal data under specific circumstances.
6.6 Data Breaches
In case of a data breach, risk assessment is promptly carried out, with required notifications made to relevant authorities and affected individuals as per GDPR guidelines.
6.7 Data Protection Officer
A Data Protection Officer (DPO) ensures GDPR compliance, addresses data protection matters, and serves as the point of contact for data subjects.
6.8 Training and Awareness
Regular training for employees and partners reinforces their familiarity with GDPR principles and responsibilities in upholding data protection standards.

7.0 Direct Engagement Prohibition
We firmly uphold a policy against direct engagement between clients and staff, including paying staff directly, fostering platform integrity and service excellence.
8.0 Policy Violations
Any violations of our stipulated policies will result in immediate action. TLNTED retains the prerogative to apply necessary measures, including penalties and legal recourse, in instances of direct client-staff engagement.
9.0 Recruitment Fee
9.1 Client Recruitment Fee
Clients pursuing staff recruitment for direct project involvement are subject to a recruitment fee of $3000 USD per staff. This fee encompasses sourcing, vetting, and facilitating client-staff connections.
9.2 Payment and Refund
The recruitment fee is due in full within a week of the trial period's commencement for recruited staff. For staff transitioning from TLNTED to direct client employment, the fee is payable on the first day of such engagement and is non-refundable.
10.0 Poaching Penalty
10.1 Compliance Requirement
Clients opting for direct client-staff collaboration outside TLNTED's purview must adhere to TLNTED processes, outlined upon request. This pertains to situations before, during, or after the client's contract with TLNTED.
10.2 Non-Compliance Penalty
Clients failing to comply with the stipulated recruitment process are subject to an additional penalty of $1500 USD. This penalty underscores the importance of adhering to TLNTED's policies and preserving our collaborative platform ethos.
11.0 Binding Agreements
All agreements, privacy policies, and terms and conditions are legally binding between the client and TLNTED LTD, with enforcement under the jurisdiction of UK law.
12.0 Commitments
12.1 Service Provision
TLNTED pledges to provide staff, management, security, PC, internet, and utilities for operational efficiency.
12.2 Termination Process
A 60-day written notice is mandatory for service termination by either the client or TLNTED, excluding underperforming candidates. No notice is required from the client for staff replacement requests.
12.3 Engagement Guidelines
Clients commit to refrain from circumventing TLNTED and engaging staff directly. Violation of this commitment leads to the withholding of the deposit and potential additional costs.
12.4 Usage Scope
Clients agree not to employ staff for cold calling services, recognising TLNTED's focus on professional collaboration.
13.0 Client Data Security
13.1 Non-Disclosure Agreement (NDA)
Staff members are bound by an NDA, ensuring the confidentiality of client company data.
13.2 Legal Action
TLNTED is authorised to take legal measures if staff breach the NDA, with potential law enforcement involvement.
13.3 Monitoring
Clients retain the authority to implement systems and software for staff productivity and privacy monitoring.
14.0 Absenteeism
14.1 Sick Leave
Sick leave days can be deducted from either holiday pay or wages, with credit notes provided to clients.
14.2 Absence Credits
Days of absenteeism during staff replacements will be credited to clients.
15.0 Paid Holidays
15.1 Entitlement
Staff members are entitled to 15 paid holidays annually. Certain mandatory paid holiday dates are predefined, with flexibility for clients to agree upon the remaining 11 paid holidays.
